Terms of Service

These Terms of Service (the Terms) govern your use of Voorcast, an inventory intelligence service operated by Nordnether, a company registered in the Netherlands (Voorcast, we, us). By creating an account, connecting an integration, or otherwise using the service, you agree to these Terms on behalf of your organization.

1. The service

Voorcast is a software-as-a-service product that reads inventory, sales, supplier, and purchasing data from connected systems (currently Picqer and Magento) and provides demand forecasting, stockout-risk monitoring, and purchasing recommendations on top of that data. The service is delivered through the web application at app.voorcast.com.

2. Accounts and access

To use Voorcast you must create an account and provide accurate registration information. You are responsible for safeguarding your credentials and for activity that occurs under your account. Each account is for the use of a single legal entity; you may invite team members under your organization, but you may not share a single login among multiple people or sub-license access to third parties without our written consent.

3. Your data and integrations

When you connect an integration (Picqer, Magento, Slack, or similar) you authorize Voorcast to read the data scopes you grant and to use that data to provide the service. You remain the controller of your operational data; Voorcast acts as processor, subject to our Data Processing Agreement and Privacy Policy. You are responsible for ensuring you have the right to share that data with us and for the accuracy of the data your systems produce.

4. Acceptable use

You agree not to: (a) reverse engineer or attempt to extract the source code of the service; (b) use the service to infringe a third party's rights, including intellectual property and privacy rights; (c) probe, scan, or test the vulnerability of the service except under a coordinated disclosure arrangement with us; or (d) use the service to send unsolicited communications, store malware, or carry out any unlawful activity.

5. Plans, fees, and billing

Voorcast is offered on two published plans plus optional usage:

Plan prices reflect those published on our pricing page as of the date these Terms were last updated. We may change list prices on 30 days' notice; price changes do not apply retroactively within a current billing period. Annual plans are non-refundable; monthly plans cancel at the end of the current month.

Fees are exclusive of VAT and any other applicable taxes, which we charge in addition where required. Payments are processed by Mollie; if Mollie declines a payment, we will pause the subscription pending payment recovery.

6. Service availability

We aim to keep Voorcast available continuously and use commercially reasonable efforts to do so. We do not currently offer a contractual uptime SLA at our standard pricing tiers; Enterprise customers may negotiate one as part of their order form. Scheduled maintenance is announced in advance where practical.

7. Term and termination

Subscriptions begin on the date you first activate a paid plan and continue on a monthly or annual cycle as selected. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend or terminate the service immediately for abuse, security risk, or non-payment that persists beyond payment-recovery attempts. On termination, we delete or export your operational data on request within 30 days as set out in the DPA; account data is purged within 30 days of subscription end (with billing records retained as required by Dutch tax law).

8. Confidentiality

Each party will protect the other's non-public business information with the same degree of care it uses for its own confidential information, and at minimum a commercially reasonable degree of care. This obligation survives termination of these Terms.

9. Warranty disclaimer

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties not expressly given in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Voorcast generates forecasts and recommendations; the responsibility for purchasing and inventory decisions remains with the customer.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or lost business opportunity. Our aggregate liability under these Terms is limited to the fees you paid us for the service in the twelve (12) months preceding the event giving rise to the claim. Nothing in this section limits liability that cannot be excluded under applicable mandatory law.

11. Force majeure

Neither party is liable for delays or failures caused by circumstances outside its reasonable control (acts of God, war, labor disputes, public-network outages, government action).

12. Governing law and jurisdiction

These Terms are governed by the laws of the Netherlands, excluding its conflict-of-law rules. Any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands.

13. Changes to these Terms

We may update these Terms when our service or applicable law changes. We will notify account holders of material changes by email at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
